Modern Slavery Act 2015

 

As a SME trading below the threshold we are not required to make a formal statement. However we do recognise that many of our clients will be seeking reassurance from us about our compliance with the requirements of the Modern Slavery Act

 

Modern slavery and human trafficking statement –

XBR Electronics Ltd

 

Modern slavery is a crime and a violation of fundamental human rights. It takes various forms, such as slavery, servitude, forced and compulsory labour and human trafficking, all of which have in common the deprivation of a person's liberty by another in order to exploit them for personal or commercial gain. We are committed to improving our practices and to combat slavery and human trafficking.

 

Organisational structure

We are a provider of Electronic services predominantly to Rail organisations and operate almost entirely in the UK. We provide repair and manufacturing services in our business.

We have two working Directors of our business and our main services are provided by these Directors.

We have one other part time paid member of staff who is paid PAYE for a contracted number of hours per week with established employment terms of contract. We are not using contract staff or outsourcing production. Our business is repair and servicing of electronic items with a small level of assembly therefore our material purchases are minimal. We use skilled, trained staff to create our product.

 

Our supply chains

Our supply chains include Large Multi-national Component distributors (such as RS and Farnell), professional services firms (accountancy, auditing and insurance brokers), rail companies and a small number of SME and independent suppliers that we use on an ad hoc basis for goods that we purchase. Our business has obtained and is audited to BS EN ISO 9001:2015 therefore our human resources, training and supply chain is subject to ongoing and yearly assessment and review, this review will be used to indicate if any suppliers present a likelihood of risk and establish any measures for assessment, this process is audited. We maintain a record of these suppliers which is available on request.

 

Our commitment to combating slavery and human trafficking

Within our business there are relatively few suppliers and as such there are few risks in our supply chains or within our business. One of the reasons for this is because we are guided by our customers approach to doing business in the Rail Industry which requires high standards of honesty and integrity; this has been adopted by XBR Electronics Ltd and our team.

 

Due diligence processes for slavery and human trafficking

As part of our initiative to identify and mitigate risk we have obtained BS EN ISO 9001:2015 and use this as a management tools to establish and manage risk (in our supply chain) and will review this on an annual basis.

We have agreed that one of our Directors, Martyn Clare will have lead responsibility for the requirements of the Modern Slavery Act 2015

and can be contacted regarding the reporting of any issue regarding this.

We will publish this statement to establish how our contractors or customers can raise any concerns about potential violations of our code of ethics or if there are concerns about any of our clients being involved in activities which are contrary to the spirit and intentions of the modern Slavery Act 2015 and the ethics of XBR Electronics Ltd.

XBR Terms & Conditions
These terms and conditions are applicable at the time the contract is placed not withstanding any additional terms that may be embodied in your purchase order. XBR reserve the right to change these terms without notification but this does not affect any               contracts accepted on previous terms.
Examinations prior to quotation and the subsequent quotation shall be carried out free of charge.
Quotations shall be based on the customer’s requirements and supplied specifications. The final contract price is based on the information received, the more complete the information, the more accurate the quotation. XBR reserve the right to review the             contract price if information is supplied contemporaneously with the contract
No minimum order charge. Payment terms - Nett 30 days. All prices quoted are subject to VAT, and other taxes or duties applicable.
The customer shall be responsible for all legal costs incurred in the collection of delinquent accounts.
When a quotation includes delivery, XBR Electronics ltd shall repair or replace any item damaged in transit if reported to us within three days of receipt of goods.
XBR Electronics Ltd will not give refunds on custom made items that have been mistakenly ordered. However a quotation for the re works shall be provided.
We warranty our workmanship and materials used in the repair of an item for a period of One Year. The repair of the item shall be covered under warranty but any faults unrelated to the original fault occurring within the warranty period are not covered by             this term. We reserve the right to withdraw this warranty by notice, prior to the commencement of the contract, if on initial inspection the item is of an unsatisfactory standard, the customer shall be notified of the reasons.
Quoted delivery dates are our best estimates and we assume no liability for delay.
Any packing requirements specified by the customer, and agreed at the time of quotation, other than our standard packaging, shall be invoiced as an extra charge.
it is understood that the prices quoted are subject to adjustment by us in case of change by you in specification, quantities or delivery requirements after our acknowledgement of your order. Whilst every attempt is made to provide you with a full and final               quotation, XBR reserve the right to review the material price, where there is an inability to procure materials from usual sources of supply or where at the time of quotation, in our bone fide judgment, a component with a remote likelihood of failure, is                   subsequently identified as defective. In these situations XBR shall not proceed without your consent.
As to contracts to develop or design a special product to meet a customer’s requirements, we reserve the right without any liability what so ever, to terminate the agreement, if in our bona fide judgment the afore stated product will not serve the purposes            set out in your specification.
You may terminate a contract at any time, upon written notice to us of cancellation and upon payment of cancellation charges (see below)
                    a. The order specified price of all goods that have been delivered and not paid for. Plus.
                    b. The actual cost incurred by us and is properly allocate able to the goods not delivered at the time of cancellation, including the cost of special components and materials. Plus.
                    c. The profit and reasonable overhead that would have been made by full performance to you. Plus.
                    d. The cost of prototypes, testing, tooling and other such items produced for you. Plus.
                    e. Reasonable costs incurred by us in making settlement and effecting collection. The buyer may require delivery of any materials (except special tools and other equipment) for which payment is made.
All prices quoted are ex-works Eastleigh but carriage charges will be added to invoices if the customer request XBR to arrange carriage at the time the order is placed. Our standard delivery is by next day carrier.
As to contracts to design a special product to meet a customer’s requirement, we will use our best efforts to design and develop the product whose purpose and specifications are described within the contract. However, we do not warrant that the product            will be suitable for the intended application.
We shall not be liable for any delay or failure to deliver when delivery has been made impracticable by circumstances beyond our control.
